Terms of service
The terms under which Esheria is offered.
These terms govern access to LexChat, LegalOS, Esheria API, developer tools, documentation, and related services, unless a signed agreement with Esheria says otherwise.
Who you contract with
Esheria is operated by Esheria, Inc., a Delaware corporation. References to Esheria, we, us, and our mean Esheria, Inc. References to you and your mean the organisation, workspace, developer, legal team, or individual using the service.
If these Terms conflict with a signed order form, enterprise agreement, or customer contract, the signed agreement controls for that customer.
The service
Esheria provides software and legal data infrastructure for legal research, legal operations, compliance workflows, legal knowledge management, and supervised AI-assisted legal work.
Our product surfaces include LexChat for source-backed research, LegalOS for matters, contracts, compliance, approvals, reporting, institutional knowledge, and governed AI workflows, and Esheria API for structured legal data, regulatory packs, obligations, filing calendars, evidence requirements, graph queries, claim verification, CLI tools, MCP tools, and developer surfaces.
Features, availability, jurisdiction coverage, data sets, API routes, and service levels may vary by plan, workspace, product surface, and customer agreement.
Legal information, not legal advice
Esheria is a software platform. It does not provide legal advice, does not act as your lawyer, and does not replace the professional judgement of a qualified legal practitioner.
Outputs may include legal information, research assistance, source references, regulatory data, summaries, drafts, suggested workflows, and AI-generated content. You are responsible for reviewing, verifying, and deciding whether and how to rely on any output.
Lawyers, legal teams, compliance teams, and professional users remain responsible for advice, filings, documents, approvals, submissions, and decisions.
Accounts, workspaces, and administrators
You are responsible for maintaining accurate account information and protecting credentials, API keys, access tokens, and user accounts.
Workspace administrators are responsible for inviting and removing users, assigning roles and permissions, controlling access to matters, documents, legal data, API tokens, and workspace content, and ensuring users comply with these Terms and any customer agreement.
You must notify us promptly if you believe an account, credential, API key, or workspace has been compromised.
Customer content and outputs
Customer Content means prompts, uploads, matter information, documents, comments, instructions, workspace records, API inputs, and other material submitted to Esheria.
You retain ownership of Customer Content. You grant Esheria the rights necessary to host, process, transmit, secure, analyse, and display Customer Content for the purpose of providing and improving the service, supporting your workspace, enforcing security controls, and complying with law.
Unless your agreement says otherwise, outputs generated through Esheria may be used for your internal legal, compliance, research, or business purposes, subject to these Terms, professional responsibility obligations, and restrictions attached to source materials or third-party content.
Customer prompts, uploads, matter context, and workspace data are not used to train foundation models.
Esheria intellectual property
Esheria owns the platform, software, interfaces, workflows, designs, documentation, legal data structures, API schemas, classification systems, source-tracing methods, evaluation processes, and other technology used to provide the service.
You may not copy, scrape, resell, redistribute, reverse engineer, or build a competing legal data product from Esheria's legal library, structured data, API outputs, or platform materials except as expressly permitted in a signed agreement.
Open-source components. Notwithstanding anything to the contrary in these Terms, software components that Esheria expressly identifies as distributed under an open-source license are governed by the applicable open-source license. Those licenses apply only to the identified components and do not grant access to or rights in Esheria's hosted services, regulatory data, source materials, customer content, service outputs, or trademarks.
Feedback and improvement requests may be used by Esheria without restriction or compensation, provided we do not disclose your confidential information.
Acceptable use
You may use Esheria only for lawful, professional, and legitimate legal, compliance, business, research, or developer purposes.
You must not use the service to provide unlawful, misleading, harmful, or unauthorised advice; present AI-generated outputs as reviewed legal advice unless properly reviewed; bulk-scrape or rebuild the legal library without written permission; bypass rate limits, credit limits, security controls, audit logs, or access permissions; upload malware or unlawful content; violate privacy or unlawfully process personal data; or attempt to access another customer's workspace, data, API tokens, or confidential material.
API, CLI, MCP, and developer use
Esheria API, CLI, MCP tools, and developer documentation are provided for building legal, compliance, regulatory, research, and agent workflows on top of Esheria's published legal data surfaces.
You are responsible for securing API keys and access tokens, using idempotency keys where required, storing trace IDs for support and auditability, respecting rate and credit limits, preserving citations, quote spans, readiness labels, limitations, and source context where outputs are shown to users, and routing unsupported, ambiguous, or high-risk legal outputs to human review.
You may not expose Esheria API keys in client-side code, public repositories, logs, screenshots, support tickets, or AI-agent transcripts. Production redistribution, resale, white-labelling, bulk export, or embedding of Esheria data in a public or commercial product requires a written commercial agreement.
Fees, plans, credits, and taxes
Fees are set out in the applicable order form, subscription plan, published price list, dashboard checkout flow, or signed agreement.
Unless otherwise agreed, fees are payable in advance; API usage may be metered against credits; taxes, duties, and payment processing charges are your responsibility; overdue amounts may result in suspension or downgrade; and unused credits, trial access, or promotional credits are not refundable unless required by law or expressly stated.
We may update pricing or plan features at renewal or with reasonable notice. Enterprise agreements may set different renewal, invoicing, and payment terms.
Pilots, trials, and beta features
We may offer pilots, early access features, preview features, or beta workflows. These may be incomplete, change quickly, have limited support, or be subject to additional terms.
Unless a signed agreement says otherwise, pilot and beta features are provided for evaluation and should not be used for high-risk production decisions without appropriate review.
Confidentiality
Each party may receive confidential information from the other, including non-public business, technical, product, financial, legal, security, customer, workspace, matter, and operational information.
Each party will protect the other's confidential information using reasonable care and will use it only for providing or receiving the service. Confidential information may be disclosed to personnel, advisers, contractors, sub-processors, or representatives who need to know it and are bound by confidentiality obligations.
Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed, or lawfully received from a third party.
Data protection
Our Privacy Policy explains how we handle personal data when we act as controller. Our Data Processing Agreement applies when we process customer personal data as a processor on your instructions.
Esheria maintains data protection controls for legal work and provides applicable registration, privacy, and vendor-review materials during procurement or trust review.
Where GDPR or other international transfer requirements apply, we use appropriate safeguards such as data processing terms, standard contractual clauses, equivalent contractual safeguards, and technical controls.
Security
Esheria maintains an information security programme designed for legal work. Controls include encryption in transit and at rest, access controls, audit logging, security monitoring, vendor review, and role-based access.
Security features may vary by product and plan. Enterprise security, data residency, SSO, advanced audit logs, customer-cloud, or on-prem deployment options may require an enterprise agreement.
Third-party services and model providers
Esheria may use vetted third-party service providers for hosting, observability, email delivery, payments, customer support, security, model access, and related operations.
Where model providers process Customer Content, Esheria uses enterprise or zero-retention model endpoints where applicable. Customer prompts, uploads, matter context, and workspace data are not used to train foundation models.
Third-party services may have their own terms. We remain responsible for our sub-processors as set out in the DPA and applicable customer agreements.
Availability, support, and changes
We aim to provide a reliable service, but we do not guarantee that every feature, jurisdiction, pack, API endpoint, model, or workflow will be available at all times.
We may modify, suspend, replace, or discontinue parts of the service to improve quality, security, performance, legal compliance, or product direction. We will give reasonable notice for material changes that affect paid customers, where practicable.
Support commitments are set out in the applicable plan, order form, or customer agreement.
Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care and in line with our published security commitments and applicable customer agreement.
Except as expressly stated, the service is provided without warranties of accuracy, completeness, uninterrupted availability, fitness for a particular purpose, or legal outcome. Legal and regulatory materials may change, may be incomplete in source systems, or may require professional interpretation.
Indemnities
You will defend and indemnify Esheria from claims arising from unlawful use of the service, breach of these Terms, unauthorised processing of personal data, infringement caused by Customer Content, misuse of API outputs, or presentation of unreviewed outputs as legal advice.
Esheria will defend and indemnify you against third-party claims that the Esheria platform, as provided by Esheria and used according to these Terms, infringes intellectual property rights, subject to exclusions for Customer Content, third-party materials, modified use, unsupported integrations, or use outside the agreed scope.
Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity.
Unless a signed agreement says otherwise, each party's aggregate liability arising out of or relating to the service is capped at the fees paid or payable by you to Esheria in the twelve months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law.
Suspension and termination
We may suspend access if we reasonably believe there is a security risk, unlawful use, payment default, breach of these Terms, or risk to the service, other customers, or legal compliance.
Either party may terminate for material breach if the breach is not cured within thirty days after written notice, unless a signed agreement provides a different cure period.
On termination, your right to use the service ends. We will return or delete Customer Content in accordance with the DPA, applicable law, and your customer agreement.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, unless a signed agreement provides otherwise.
The state and federal courts located in Delaware have exclusive jurisdiction, unless a signed agreement provides otherwise.
Changes to these Terms
We may update these Terms from time to time. We will update the effective date and, where changes are material, provide reasonable notice through the website, product, dashboard, or email.
Continued use of the service after the effective date of updated Terms means you accept the updated Terms.
